Acceptance of These Terms

AgentsHub ("AgentsHub," "we," "us," or "our") provides our services (described below) and related content to you through our website(s) located at https://agentshub.ai (the "Site"), related subdomains such as connect.agentshub.ai, and through our software, APIs, hosted products, tools, models, marketplace, and related technologies (collectively with the Site, including any beta, preview, updated, or new features, functionality and technology, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms").

By accessing, browsing, registering for, or otherwise using the Site or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms "you" or "your" will refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not access or use the Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. We will also notify you of any material changes, either through the Service user interface, email, or through other reasonable means. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms. If you do not agree to abide by these or any future Terms, you must stop using the Service.

By using the Service, you consent to our collection, use, and disclosure of personal data and other data as outlined therein, and to our use of cookies as described in the Cookie Policy and your cookie preference choices. If you are entering into these Terms on behalf of a company, business, or other legal entity, the Privacy Notice will apply to you and your end users to the extent we process personal data on your behalf or in connection with your use of the Service.

Additional Terms

When using certain features through the Service (for example, marketplace publishing, team workspaces, A2A connectivity, or paid plans), you may be subject to additional terms, policies, or guidelines posted on or within the Service from time to time. All such terms are incorporated by reference into these Terms.

You are solely responsible for all code, information, data, text, software, messages, prompts, configurations, uploads, marketplace listings, and other materials ("User Content") that you make available to us, including by uploading, posting, publishing, displaying, or transmitting via the Service, or by configuring agents or skills to create, send, or process such materials.

The following are examples of content and/or uses that are illegal or prohibited. We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing offending content, suspending or terminating accounts, revoking API keys, and reporting violators to law enforcement. You agree not to use the Service to:

• Upload, transmit, or cause agents to process any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains malware or code designed to interrupt, destroy, or limit the functionality of any system; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited spam or other abusive solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic involving minors, hateful, discriminatory, or otherwise objectionable; or (vii) in our sole judgment, is objectionable or may expose us or our users to harm or liability;
• Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;
• Violate any applicable local, state, national, or international law, or any regulations having the force of law;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Solicit personal information from anyone under the age of 18;
• Harvest or collect email addresses or other contact information of other users from the Service for the purpose of sending unsolicited communications;
• Further or promote any criminal activity or enterprise, or provide instructional information about illegal activities;
• Obtain or attempt to access any content or information through any means not intentionally made available through the Service;
• Circumvent, remove, alter, deactivate, degrade, or thwart any content protections, access controls, geographic restrictions, credit or rate limits, or security measures;
• Engage in unauthorized data mining, scraping of the Service itself, or similar extraction methods against the Service;
• Use agents, scrapers, browsers, or automations to access third-party websites or systems in violation of those third parties' terms, robots policies, technical restrictions, or applicable law;
• Use the Service to send deceptive, fraudulent, or unauthorized communications; create or amplify inauthentic engagement; or engage in social engineering, phishing, or credential harvesting;
• Use the Service to develop, train, or improve a competing general-purpose AI agent platform by systematically extracting non-public Service Content, marketplace materials, or proprietary workflows, except to the extent permitted by applicable open-source licenses or express written permission;
• If you are blocked from accessing the Service (including by blocking your IP address), implement measures to circumvent such blocking.

Automation and third-party systems. You are solely responsible for ensuring that your agents, skills, scrapers, MCP connections, A2A endpoints, and integrations comply with the terms of third-party platforms (including LinkedIn, Google, Slack, social networks, and any site you scrape or automate) and with applicable law. Connecting credentials or authorizing actions constitutes your instruction to act on your behalf.

Competitors. No employee, independent contractor, agent, or affiliate of a company that offers a platform competitive with the Service may access non-public portions of the Service for competitive analysis, benchmarking for public disparagement, or reverse engineering without our express written permission. Ordinary evaluation use for a bona fide purchase decision is permitted.

4. Teams and Workspaces

Certain plans may allow you to create or join team workspaces, invite members, and share credits, agents, skills, or other resources. If you administer a team, you represent that you have authority to invite members and to control shared resources. Team members must comply with these Terms. You are responsible for activity occurring in workspaces you administer, including actions of invited users and shared automations.

5. AI Outputs, Agents, and Automation

AgentsHub uses artificial intelligence, third-party models, tools, scrapers, sandboxes, and integrations. Outputs may be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for reviewing outputs and for any decisions, communications, transactions, or actions taken based on the Service.

When you configure agents, skills, webhooks, A2A endpoints, MCP servers, or integrations, those systems may take actions in external applications on your behalf (for example, sending messages, creating posts, scraping data, generating media, or executing code). You authorize such actions subject to the permissions and credentials you provide, and you remain solely responsible for them.

You must not rely on the Service as a substitute for professional advice (including legal, medical, financial, or safety-critical advice) without independent human review appropriate to the risk.

We do not guarantee uninterrupted, error-free, or successful execution of any agent run, skill, scraper, sandbox job, or third-party action.

6. Marketplace

The Service may allow you to publish, list, acquire, or use agents, skills, managers, or workforces through a marketplace. Listings may be subject to review, verification badges, visibility settings, and removal at our discretion.

If you publish User Content to the marketplace, you represent that you have all rights necessary to publish it and to grant the licenses in these Terms, and that your listing does not violate these Terms or applicable law.

Marketplace content from other users is third-party material. We do not warrant its quality, safety, legality, or fitness for your purpose. Your use of marketplace items is at your own risk.

You represent and warrant that you own or control all rights in and to your User Content necessary to grant the licenses below, and that your User Content and your use of the Service do not violate these Terms or applicable law.

You hereby grant AgentsHub and AgentsHub Affiliates, and their successors and assigns, a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable (directly and indirectly through multiple tiers), license to copy, display, upload, perform, distribute, store, modify, and otherwise use your User Content, in any form, medium, or technology now known or later developed, (a) in connection with operating the Service, (b) to provide, secure, develop, and improve the Service and other offerings of AgentsHub and/or AgentsHub Affiliates, and (c) as otherwise set forth in our Privacy Notice. For marketplace listings you choose to publish, the license includes making that listing available to other users according to the visibility and distribution settings you select or that we apply for the feature.

You also agree that we may remove metadata associated with your User Content, and you irrevocably waive any claims and assertions of moral rights or attribution with respect to your User Content to the extent permitted by law. You assume all risk associated with your User Content and have sole responsibility for its accuracy, quality, legality, and appropriateness.

You authorize AgentsHub and AgentsHub Affiliates and their service providers to collect and analyze User Content and other data relating to the Service and derive statistical and usage data ("Usage Data"), which may include aggregated, de-identified, or sanitized datasets and workflow patterns. We may use, disclose, license, and commercialize Usage Data for any purpose in accordance with applicable law and our Privacy Notice.

Any questions, comments, suggestions, ideas, feedback, reviews, or other information about the Service ("Submissions") provided by you are non-confidential, and AgentsHub and AgentsHub Affiliates will be entitled to the unrestricted use and dissemination of Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

We may preserve and disclose User Content if required by law or in the good faith belief that preservation or disclosure is reasonably necessary to: (a) comply with legal process or government requests; (b) enforce these Terms; (c) respond to claims that content violates third-party rights; or (d) protect the rights, property, or personal safety of us, our users, or the public.

9. Third-Party Services and Websites

The Service may provide links to, or integrate with, services, sites, technology, and resources provided by third parties ("Third-Party Services"), such as identity providers (for example, Google and LinkedIn), payment processors (Stripe), AI model providers and routers (for example, OpenRouter and other model hosts), integration platforms (for example, Composio), scrapers and actors (for example, Apify), media generation (for example, Replicate), email delivery, sandbox providers, observability and analytics tools (including Google Tag Manager when enabled under your cookie preferences), and other services you connect (including MCP servers and A2A endpoints).

Your access and use of Third-Party Services may be subject to additional terms and privacy policies of those third parties. Some Third-Party Services will provide us with access to certain information you have provided to them; we will use, store, and disclose such information in accordance with our Privacy Notice.

We have no control over and are not responsible for Third-Party Services, including accuracy, availability, reliability, completeness, or privacy practices. You, and not AgentsHub, will be responsible for any costs and charges associated with your use of Third-Party Services, and for credentials and API keys you supply. Enabling Third-Party Services is a convenience and does not imply endorsement. Dealings with third parties are solely between you and the third party.

10. Indemnification

To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless AgentsHub, AgentsHub Affiliates, and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the "AgentsHub Parties") from and against any and all losses, damages, expenses (including reasonable attorneys' fees), claims, and actions arising out of or relating to: your use of the Service; your User Content; your agents, skills, scrapers, sandboxes, integrations, credentials, or A2A endpoints; your connection to the Service; your violation of these Terms; or your violation of any rights of another.

We will provide notice to you of any such claim where reasonably practicable. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with reasonable requests assisting our defense. You may not settle or compromise any claim against the AgentsHub Parties without our written consent.

11. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGENTSHUB PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE AGENTSHUB PARTIES MAKE NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE (INCLUDING AI OUTPUTS OR AGENT ACTIONS) WILL BE ACCURATE, RELIABLE, OR LAWFUL FOR YOUR USE CASE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE AGENTSHUB PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE; (E) ACTIONS TAKEN BY AGENTS OR AUTOMATIONS YOU CONFIGURE; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT WILL THE AGENTSHUB PARTIES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID AGENTSHUB FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR, IF GREATER, ONE HUNDRED U.S. DOLLARS (US $100) OR THE EQUIVALENT IN LOCAL CURRENCY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.

13. Governing Law and Dispute Resolution

These Terms will be governed by the laws of India, without regard to its conflict of law provisions.

Amicable resolution. If you have a dispute with us, please contact support@agentshub.ai first. We will attempt to resolve the dispute informally.

Arbitration. Subject to applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally within thirty (30) days after written notice shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Gurugram, Haryana, India. The language of the arbitration shall be English. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties, or failing agreement within fifteen (15) days, appointed in accordance with the Act. Judgment upon the award may be entered in any court having jurisdiction.

Subject to the arbitration clause above, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction over any proceedings that are not required to be arbitrated or that are needed to support arbitration (including interim relief).

You and we agree that disputes will be resolved on an individual basis only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding, to the maximum extent permitted by applicable law.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect intellectual property or confidential information, or from pursuing claims in a forum of competent jurisdiction where mandatory consumer protection laws require it.

14. Termination

You agree that we, in our sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any content within the Service, for any reason, including for lack of use, non-payment, or if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities. We may also discontinue providing the Service, or any part thereof, with or without notice.

You agree that any termination of your access to the Service may be effected without prior notice, and that we may immediately deactivate or delete your account and related information and files and/or bar further access, subject to our Privacy Notice and applicable law. We will not be liable to you or any third party for any termination of your access to the Service.

Provisions that by their nature should survive termination will survive, including ownership, User Content licenses already granted to the extent necessary to operate residual systems and Usage Data, warranty disclaimers, indemnity, limitations of liability, and dispute resolution.

15. User Disputes

You agree that you are solely responsible for your interactions with any other user in connection with the Service, including marketplace transactions and team collaborations, and that AgentsHub and AgentsHub Affiliates will have no liability or responsibility with respect thereto. We reserve the right, but have no obligation, to become involved in disputes between you and any other user.

16. General

These Terms (together with the Privacy Notice and any terms incorporated by reference) constitute the entire agreement between you and us governing your access and use of the Service, and supersede any prior agreements with respect to the Service.

The failure of us to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid, the court or arbitrator should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions remain in full force and effect.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred, to the maximum extent permitted by applicable law.

You may not assign these Terms without our prior written consent, but we may assign or transfer these Terms, in whole or in part, without restriction. Section titles are for convenience only and have no legal or contractual effect. The words "include" and "including" mean "including without limitation."

Notices to you may be made via email, regular mail, or by displaying notices on the Service. We will not be in default by reason of any failure or delay in performance due to circumstances beyond our reasonable control, including civil disturbances, epidemic, war, natural disaster, acts of God, labor disputes, internet or utility failures, or failures of Third-Party Services.
